Nader, President and CEO of Equity Lifestyle Properties, and also a director, sold 33000 shares of common stock on September 16,” said TradingView. “Equity Lifestyle CEO sells shares worth over $2.4 million,” said Investing.com, which opened added: “Investors and market watchers often pay close attention to insider transactions as they provide insights into executives’ perspectives on the company’s stock value. In Equity Lifestyle’s case, the CEO’s sale is a significant transaction, and it is standard practice for executives to disclose full details of such sales to the company, shareholders, and regulatory authorities upon request.” “The transactions were executed at an average price of $75.52 per share, amounting to over $2.4 million in total. The shares were sold in multiple transactions at prices ranging from $75.2720 to $75.75. Following the sale, Nader still owns 260,936 shares of Equity Lifestyle Properties, indicating a strong remaining stake in the company.”  Investing.com did offer some positive takes on the firm. Their report was published on 09.17.2024. It failed to mention that ELS faces class action antitrust ‘price fixing’ claims on behalf of its residents, as well as a fresh probe announced by Rosen Law Firm: “a global investor rights law firm, continues to investigate potential securities claims on behalf of shareholders of Equity LifeStyle Properties, Inc. Hedge Funds Weigh In On Equity LifeStyle Properties

Several large investors have recently modified their holdings of the stock. Mather Group LLC. purchased a new stake in Equity LifeStyle Properties during the 1st quarter valued at about $25,000. Rise Advisors LLC purchased a new stake in shares of Equity LifeStyle Properties during the first quarter valued at approximately $27,000. V Square Quantitative Management LLC purchased a new position in Equity LifeStyle Properties in the 2nd quarter worth approximately $30,000. Blue Trust Inc. lifted its position in Equity LifeStyle Properties by 167.1% in the 2nd quarter. Blue Trust Inc. now owns 625 shares of the real estate investment trust’s stock valued at $40,000 after acquiring an additional 391 shares in the last quarter. Finally, GAMMA Investing LLC lifted its position in Equity LifeStyle Properties by 36.0% in the 2nd quarter. GAMMA Investing LLC now owns 819 shares of the real estate investment trust’s stock valued at $53,000 after acquiring an additional 217 shares in the last quarter. Hedge funds and other institutional investors own 97.21% of the company’s stock.

4) A comparison between UMH Properties and ELS is arguably useful. MHProNews has observed several times that while UMH is a ‘loyal’ MHI member brand, they are arguably not an MHI insider brand. Based on known reports, UMH does not appear to engage in the kind of “predatory” behavior that so many other MHI member firms in their National Communities Council (NCC) companies seem to be accused of with evidence, including, but not limited to ELS. So, while ELS is among the MHI member firms hit by antitrust claims, UMH is not known to have encountered similar claims.

5) Perhaps as revealing are the Landys’ remarks, see the report and analysis linked below, on why they are performing so well and why they think that the industry should be focused on dramatically increasing the numbers of land lease manufactured home communities (MHCs). When they argue for 100,000 new communities to be developed by ‘the industry,’ that is essentially a call to triple the number of manufactured home communities. Nor should that be thought of as a wild or unrealistic remark.  According to left-leaning Newsweek on July 11, 2024: “Experts expect the U.S. to complete the construction of around 600000 new apartment units this year—a record high unseen since 1974.” That’s reportedly some 600,000 units in one year.

5a) To illustrate the point that UMH, while certainly not perfect, has not been hit with similar allegations, consider the following Q&A conducted on this date with left-leaning Bing’s AI powered Copilot.

6) Yet, despite a demonstrably impressive performance vis-à-vis UMH vs. ELS, Frank Rolfe, who with his partner Dave Reynolds, are arguably in that “predatory” camp of the MHI-NCC members, called the Landys’ plan “asinine.” Seriously, Frank? Compare the returns of UMH to ELS. Now, who was apparently making a -ss out of themselves?

7) Speaking of developing new communities. Apparently, MHI has been feeling the apparent ‘heat’ from MHARR, MHProNews, MHLivingNews and perhaps more quietly from some others. MHI’s CEO Lesli Gooch, Ph.D., recently did what was dubbed an “interview” with Multi-Housing News (MHN). Part of that report is unpacked below. There are several important disconnects between what MHI’s CEO Gooch said and the obvious difference between her remarks and legal, market, or other realities. There are also apparent or potential conflicts of interest and failures to disclose.

8) The dialogue between Laura Calugar for Multi-Housing News (MHN) and MHI CEO Gooch in their 9.11.2024 “interview” present in her responses arguably misleading views of the industry’s current state. MHProNews has strongly urged MHN and its parent company Yardi to correct the record and present a legitimate, fact-based analysis of the concerns raised by Gooch’s statements and oversights. MHN’s Editorial Director Suzann D. Silverman responded to MHProNews inquires and communication, as did Executive Editor Therese Fitzgerald.  That said, there has been no known indication that they have or will make any changes or otherwise balance out the MHI interview.

It is possible that these Arbor ads on the MHN website on 9.19.2024 are from a third-party ad service (that happens on MHProNews and other sites). Not only is there no apparent change to MHN’s “interview” with MHI CEO Lesli Gooch, but scandal and lawsuit hit Arbor is an apparent MHN advertiser. See linked report shown above or linked here. In the absence of a timely response by MHN, however, MHProNews will look to other industry experts to properly address the often rather common-sense questions MHN raised with Gooch, which she apparently fumbled time and again. That presentation from MHProNews is planned and will be forthcoming. A follow up (Part II) to our outreach to MHN and MHI leadership is also still planned. Stay tuned.

9) It was not anticipated that Arbor Realty and Trust (ABR) would be shown as an advertiser on MHN, particularly on the interview page with Gooch. Arbor has been hit with securities fraud claims.  The report linked above also provides a flashback to Cavco’s years of woes with the Securities and Exchange Commission (SEC).

10) Those who read would be rivals of this platform and our sister site on MHLivingNews routinely do not get exposed, for whatever reasons, to thinking other than what aligns with what MHI insiders want to generate. But that also means that those in the MHI-orbit fail to shine a clear light on why manufactured housing is underperforming. Some are noticing. With respect to Cavco Industries (CVCO), analyst Greg Palm quite rightly asked, why is manufactured housing production so weak?

11) As Copilot and the Masthead illustrated, the proverbial cat is increasingly out of the bag. It is apparent that several MHI insiders appear to be more focused on keeping the industry from growing to its potential, perhaps thinking they can continue to foster consolidation. That’s not mere speculation. That’s a visible part of the investor relations and other information produced by MHI member firms in their own words.
